These Terms of Use ("Terms") govern your access to and use of the websites, applications, APIs, artist dashboards, distribution systems, and related services operated by DIRENOTE INITIATIVES LLP, a Limited Liability Partnership registered under the Ministry of Corporate Affairs, Government of India, bearing LLP Identification Number (LLPIN) ACX-6892, and doing business as ("DBA") DireNote Media ("DireNote Media", "Company", "we", "us", or "our").

You agree not to share accounts, impersonate others, create accounts using false information, or circumvent any restrictions imposed by DireNote Media.

User Content & Ownership

Subject to applicable agreements, you retain ownership of the content, recordings, metadata, artwork, lyrics, documents, and other materials submitted through the Platform ("Content").

By submitting Content, you grant DireNote Media and its affiliates, contractors, licensors, partners, digital service providers, and service providers a worldwide, non-exclusive, sublicensable, royalty-free right and license to host, store, reproduce, encode, process, distribute, deliver, display, transmit, administer, analyze, monetize, and otherwise use such Content as reasonably necessary to provide the Services.

User Representations & Warranties

You represent and warrant that:

• You own or control all necessary rights required to submit the Content.
• You possess all required permissions, licenses, authorizations, and approvals.
• Metadata, credits, ownership information, and contributor information are accurate.
• Your Content does not infringe intellectual property, privacy, publicity, contractual, or other rights.
• Your Content complies with applicable laws, regulations, and platform requirements.
• You have authority to enter into and perform obligations under these Terms.

Acceptable Use

You agree not to:

• Upload infringing, unauthorized, fraudulent, deceptive, or unlawful content.
• Engage in streaming fraud, artificial activity, bot traffic, click manipulation, or similar conduct.
• Submit false metadata, ownership claims, royalty claims, or contributor information.
• Impersonate individuals, entities, artists, labels, or rights holders.
• Interfere with the security, integrity, or operation of the Platform.
• Upload malware, malicious code, or harmful content.
• Attempt unauthorized access to systems, data, or accounts.
• Violate applicable laws, regulations, or third-party terms.

Automated Reviews & Monitoring

DireNote Media may utilize automated technologies, content identification systems, analytics tools, fraud prevention systems, machine learning tools, artificial intelligence technologies, fingerprinting systems, monitoring technologies, and third-party services to review, analyze, monitor, validate, or assess content, metadata, account activity, compliance, security risks, and platform integrity.

Actions taken based on such reviews may include content restrictions, release delays, manual review requests, account limitations, suspension, termination, or other enforcement actions where reasonably necessary.

Third-Party Platforms & Services

Content may be delivered, processed, administered, or made available through third-party services, digital service providers, rights organizations, payment providers, analytics providers, technology partners, licensors, and other independent entities.

DireNote Media does not control such third parties and shall not be responsible for their actions, policies, delays, outages, decisions, removals, reporting practices, payment practices, or operational changes.

Service Availability

Services are provided on an "as available" and "as is" basis. DireNote Media does not guarantee uninterrupted availability, platform acceptance, monetization, royalty generation, distribution approval, revenue levels, release dates, placements, or commercial success.

Suspension, Restriction & Termination

DireNote Media reserves the right, at its sole discretion and without prior notice where permitted by law, to restrict, suspend, disable, remove content, delay releases, freeze access, terminate accounts, withhold services, or take other actions reasonably necessary to:

• Investigate violations of these Terms or related policies.
• Address fraud, abuse, infringement, security concerns, or legal risks.
• Comply with legal, regulatory, contractual, or platform requirements.
• Protect users, partners, rights holders, service providers, or DireNote Media.

Limitation of Liability

To the maximum extent permitted by law, DireNote Media shall not be liable for any indirect, incidental, special, punitive, exemplary, or consequential damages, including loss of profits, loss of revenue, loss of business, loss of data, reputational harm, or third-party actions.

To the extent liability cannot be excluded, DireNote Media's aggregate liability shall not exceed the total amount paid by you directly to DireNote Media during the twelve (12) months preceding the event giving rise to the claim.

Force Majeure

DireNote Media shall not be responsible for delays, interruptions, failures, losses, or inability to perform resulting from events beyond its reasonable control, including natural disasters, governmental actions, internet failures, cyberattacks, labor disputes, infrastructure failures, platform outages, acts of war, or force majeure events.

Governing Law & Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of India, without regard to conflict of law principles.

Subject to applicable law, courts located in India shall have exclusive jurisdiction over disputes arising out of or relating to these Terms, the Platform, or the Services.

Changes to These Terms

DireNote Media reserves the right to modify, amend, replace, update, or revise these Terms at any time. Updated versions become effective upon publication unless otherwise required by law. Continued use of the Services after publication constitutes acceptance of the revised Terms.
