Rights Assignment & Authorization Policy
DireNote Media acts as a professional digital music distributor and rights administrator. By using our services, you grant DireNote Media the necessary authorization to distribute, monetize, and manage your content strictly in accordance with this policy.
Authorization to Distribute & Monetize
You authorize DireNote Media, registered under MSME UDYAM-UP-55-0036284, to distribute, promote, and monetize your sound recordings and related audio-visual content across digital platforms worldwide.
This includes, but is not limited to, platforms such as Spotify, Apple Music, YouTube, Instagram, Facebook, telecom services, publishing platforms, and other internet-based or digital service providers.
Nature of Rights Granted
The rights granted under this policy are for distribution, monetization, administration, and rights protection purposes only.
DireNote Media may exercise these rights on an exclusive basis for distribution through DireNote Media during the active term of the agreement, unless otherwise specified in the artist's selected plan.
Monetization & Sub-Licensing
You authorize DireNote Media to monetize your content, manage content claims, and sub-license the content to:
- Digital Service Providers (DSPs)
- Social media and user-generated content platforms
- Telecom and mobile service partners
- Publishing and licensing platforms
- Other authorized distribution or monetization partners
Such sub-licensing is strictly limited to what is reasonably required for effective distribution, monetization, and revenue collection.
Rights Protection & Enforcement
You authorize DireNote Media to protect your content by:
- Issuing takedown notices
- Managing copyright and Content ID claims
- Disputing unauthorized uploads
- Taking platform-level or legal action where necessary
All such actions are undertaken solely to safeguard the licensed rights and prevent unauthorized use of your content.
Ownership of Rights
You retain 100% ownership of your music, sound recordings, compositions, and all associated copyrights.
This policy constitutes a license for distribution and monetization purposes only and does not transfer ownership of any intellectual property to DireNote Media.
Video Distribution Rights
Where an artist submits a music video, lyric video, or any audio-visual content through the DireNote Media platform, the following video distribution rights are granted in addition to the standard audio distribution rights above.

DireNote Media will distribute your video content to all applicable video-enabled platforms in its delivery network, including but not limited to:
Rights Granted for Video Distribution
By submitting video content, you grant DireNote Media the following rights for the duration of the active agreement:
- Synchronization Right — to license and deliver your music synchronized with visual elements (music video, lyric video, or audio-visual content) to video distribution platforms worldwide.
- Video Distribution Right — to encode, transcode, format, and deliver your video content to Vevo, YouTube, Apple Music Video, and all other applicable video platforms in DireNote Media's network.
- Video Monetization Right — to enable advertising monetization and revenue collection on your video content across YouTube (Content ID), Facebook Rights Manager, and other video ad-supported platforms.
- Thumbnail & Metadata Right — to use, format, and submit video metadata, thumbnails, cover art, and associated visuals as required by each platform's delivery specification.
- Content ID & Rights Management Right — to register your audio-visual content with YouTube Content ID, Facebook Rights Manager, and equivalent systems to identify and monetize third-party uses of your video or its underlying audio worldwide.
- Sub-Licensing to Video Platforms — to sub-license your video content to Vevo and other video platform partners strictly for streaming, broadcasting, and promotional purposes.
Artist Warranties for Video Content
By submitting video content, you additionally confirm and warrant that:
- You own or have secured all rights to the visual elements, footage, and audio contained in the video, including any third-party clips, photographs, or licensed material.
- All performers, directors, and contributors featured in the video have provided necessary consents and releases.
- The video does not contain content that violates platform content policies, including but not limited to explicit, harmful, or infringing material.
- Video file specifications, aspect ratios, and quality standards meet the minimum requirements of the destination platforms as communicated by DireNote Media.
360° Revenue Collection Rights
DireNote Media offers an optional 360° Revenue Collection service that enables artists to maximize royalty recovery across global performing rights organizations (PROs), copyright societies, and mechanical licensing bodies worldwide.
Societies Covered
By opting in, you authorize DireNote Media to register your works, administer your rights, and collect royalties on your behalf from the following societies across all applicable territories worldwide:
Indian Performing Right Society — collects performing and mechanical royalties for your musical and literary works (melody + lyrics) from radio, TV, OTT, live events, and public broadcasts globally via CISAC reciprocal agreements.
Phonographic Performance Ltd. — collects phonographic royalties for your sound recordings (masters) played in hotels, restaurants, radio, TV, events, and public spaces globally via international reciprocal agreements.
U.S. Congress-designated collector for digital performance royalties on sound recordings streamed via non-interactive services such as Pandora, SiriusXM, and internet radio in the United States.
Mechanical Licensing Collective — collects U.S. mechanical royalties for musical compositions streamed or downloaded via interactive platforms such as Spotify, Apple Music, and Amazon Music.
Rights Transferred Under 360° Opt-In
By opting into this service, you grant DireNote Media the following rights for the duration of the active agreement:
- Performing Right in Musical Work — to register and collect performing royalties for your compositions (melody) with IPRS India and its affiliated societies worldwide.
- Performing Right in Literary Work — to register and collect performing royalties for your lyrics with IPRS India and its affiliated societies worldwide.
- Mechanical Right in Musical Work (US) — to register your compositions and collect U.S. mechanical royalties (publisher's share) via The MLC on your behalf.
- Phonographic Performance Right — to register and collect public performance royalties for your sound recordings (masters) with PPL India and its international affiliated societies worldwide.
- Digital Performance Right in Sound Recording (US) — to register as Sound Recording Copyright Owner (SRCO) and collect the owner's share of royalties via SoundExchange for non-interactive digital broadcasts in the USA.
- Administration & Sub-Registration Right — to submit, update, and manage your work registrations, ISRC/ISWC data, and ownership splits across all four societies listed above.
Revenue Remittance
All royalties collected under the 360° plan (except publisher's share on IPRS) will be remitted to the artist after deduction of the applicable DireNote Media administration fee as specified in the artist's selected plan. Royalty statements will be issued on a platform-by-platform basis as and when received from the respective societies, via the DireNote Media artist dashboard.
Term & Termination
This authorization remains valid unless terminated by either party by providing at least ninety (90) days prior written notice.
Upon termination:
- DireNote Media will cease active distribution as per platform timelines
- Content removal will follow third-party platform processing schedules
- Revenue accrued prior to termination will continue to be collected and remitted
Artist Warranties
By accepting this policy, you confirm and warrant that:
- You own or control all rights necessary to grant this authorization
- Your content does not infringe third-party rights
- All information and metadata provided is accurate and lawful
Digital Acceptance & Validation
Acceptance of this policy through digital means, including dashboard confirmation or electronic signature, constitutes a legally binding agreement and confirms your full understanding and approval of the terms outlined above.
